TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THIS WEBSITE SHALL BE TO DISCONTINUE USING THE WEBSITE.
  14. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICALBE LAW, UNDER NO CIRCUMSTANCES WILL WE BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOSS OF GOODWILL, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO OUR WEBSITE, YOUR USE OF OUR WEBSITE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH OUR WEBSITE AND/OR CONTENT IS TO CEASE ALL OF YOUR USE OF OUR WEBSITE.

To the fullest extent permitted by law, you agree that your sole remedy for any breach of these Terms will be the substitution or replacement of all or part of the Website that gives rise to damages incurred by you. In the event a court of competent jurisdiction determines that we are liable for damages of any kind, you agree that such damages shall not exceed Five Hundred Dollars ($500). You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in these Terms that directly conflict with such laws may not apply to you.

  15. Governing Law and Jurisdiction. The laws of the State of California shall govern these Terms, without regard to principles of conflicts of law.
  16. Arbitration.
    1. Disputes Covered. ALL DISPUTES BETWEEN YOU AND PRCP (OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS ACTING ON ITS BEHALF) ARISING OUT OF OR RELATING IN ANY WAY TO THE WEBSITE OR THESE TERMS (A “DISPUTE”), SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT. “DISPUTE” IS TO BE INTERPRETED AS BROADLY AS THE LAW ALLOWS AND EXPRESSLY INCLUDES CLAIMS RELATING TO THE COLLECTION, USE, OR DISCLOSURE OF INFORMATION THROUGH THE WEBSITE, REGARDLESS OF THE STATUTE OR LEGAL THEORY ASSERTED, AND REGARDLESS OF WHETHER BASED ON EVENTS OCCURRING BEFORE OR AFTER YOU AGREED TO THESE TERMS. ALL SUCH ARBITRATIONS WILL TAKE PLACE ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONDUCT ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING OR TO COMBINE THE CLAIMS OF MORE THAN ONE INDIVIDUAL.
    2. Informal Dispute Resolution. Before either you or PRCP commences an arbitration or any action in court regarding a Dispute, the party asserting the Dispute must first send the other party a written notice describing the Dispute and the relief sought (a “Notice of Dispute”), and the parties will attempt in good faith to resolve the Dispute informally. Notices to PRCP must be sent to the contact information listed below. If the Dispute is not resolved within thirty (30) days after the Notice of Dispute is received, either party may proceed as provided in these Terms. This process is a condition precedent to commencing any arbitration or court action.
    3. Arbitration Rules and Forum. The arbitration will be administered by JAMS under its comprehensive arbitration rules and procedures then in effect. A single arbitrator will decide the Dispute.
    4. Fees. Payment of filing, administration, and arbitrator fees will be governed by the JAMS rules. Each party bears its own attorneys’ fees in connection with any Dispute subject to arbitration.
  17. Waiver. No waiver by PRCP of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PRCP to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
  18. Severability. If any provision of these Terms is held invalid, void, or unenforceable, that provision will be severed from the remaining provisions and the remaining provisions will remain in full force and effect. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
  19. Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by PRCP without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
  20. Relationship of the Parties. Each party is, and shall remain, an independent contractor and nothing contained in these Terms shall be construed to make either party a partner, joint venturer, employee or agent of the other party, and neither party shall hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party.
